Alicea Tan specialises in investment funds. She advises both well-established and first-time managers on the structuring, formation, marketing and operation of open-ended and closed-ended structures utilising vehicles such as the Singapore Variable Capital Companies (VCC) and limited partnerships as well as offshore vehicles, covering traditional assets and alternatives (hedge, private equity, venture capital, private credit, real estate, digital assets and other asset classes and strategies). Her experience includes re-domiciliations and restructuring of existing fund structures, portfolios and investors. Alicea advised two (2) of the 18 fund managers selected for the Monetary Authority of Singapore’s VCC pilot programme and completed the launch and re-domiciliation of the respective funds on the same day the VCC regime went live in Singapore.

In addition, Alicea advises sovereign wealth and other institutional investors on a range of LP matters concerning their anchor investments.

She also regularly advises asset and fund managers on the establishment of business operations in Singapore, related regulatory matters including licence/exemption applications and has counselled managers and their principals on a wide range of compliance and governance issues, liaising regularly with Singapore regulators.

In Alicea’s private client practice, she advises private and HNW/UHNW clients on legacy succession matters and structuring and formation of family offices, private trusts and Section 13O/13U structures.

Alicea is also involved in a variety of general corporate matters which includes downstream private equity and venture capital investments, financings and joint ventures.

  • Advised a Singapore-based hedge fund manager on the establishment of its maiden US$1 billion long-short hedge fund structured as a Cayman SPC;
  • Advised a Singapore-based fund manager on the establishment of its US$500 million real estate fund structured as a Singapore VCC with an investment focus on Asia;
  • Advised a leading infrastructure investment firm, on the establishment of its Australian green infrastructure fund structured as a Singapore VCC, with a focus on investing in solar farms spanning early-stage developments and established assets;
  • Advised a Singapore-based fund manager on the establishment of its US$100 million semi-liquid private credit fund structured as a Singapore VCC with a focus on loans to corporate borrowers collateralised by digital assets;
  • Advised a Singapore-based fund manager on the establishment of its GBP 100 million mobility focused fund structured as a Singapore VCC, investing in a concentrated portfolio of investments in mobility and transit ticketing solutions for private and public transport;
  • Advised a leading private credit Singapore fund manager in the establishment of its US$150 million semi-liquid private credit fund structured as a Singapore VCC, investing in a diversified private credit portfolio using a FinTech-driven credit scoring process;
  • Advised a Singapore-based fund manager on the establishment of its US$100 million semi-liquid private credit fund structured as a Singapore VCC, investing in private credit instruments including term loan facilities, structured credit, direct and indirect lending opportunities, as well as underlying funds;
  • Advised a Singapore-based fund manager on the establishment of a S$100 million semi-liquid private credit fund structured as a Singapore VCC investing in a portfolio of private credit investments in the commercial real estate sector in Australia;
  • Advised a Singapore-based fund manager on the establishment of a US$100 million structure as a Singapore VCC with the objective of investing across listed and unlisted equity securities and convertibles with a focus on Asia’s technology and media sector, web 3.0 companies and companies involved in the blockchain ecosystem;
  • Advised a Singapore-based fund manager, on the establishment of its US$130 million Indonesian-focused equities fund structured as a Singapore VCC;
  • Advised a Singapore fund manager in the establishment of a US$100 million fund-of-funds structured as a Singapore VCC for the purposes of investing in underlying quantitative and hedge funds;
  • Advised a Singapore-based fund manager in the establishment of its S$100 million Vietnam real estate fund structured as a Singapore VCC;
  • Advised a Singapore-based fund manager in the re-domiciliation of its open-ended Bahamas fund, investing in a diversified portfolio of collateralised loan obligations, into a Singapore VCC fund. The fund was re-domiciled on the same day the VCC framework went live in Singapore; and
  • Advised a number of sovereign wealth investors globally as well as large institutional investors on their anchor investments as well as on a range of related LP matters.
